1. Introduction
1.1. These Terms of Service ("Terms") govern the use of the website, social media content, marketing collateral, and all consulting services ("Services") provided by CYMODUS Corp., a federally incorporated Canadian corporation (Corporation Number 1708779-9) ("CYMODUS", "we", "our", or "us").
1.2. By accessing our website, viewing our content, or engaging with our services, you agree to be bound by these Terms. If you do not accept these Terms, you must discontinue use of the website and all associated media.

2. Website & Media Content
2.1. The information presented on this website, our social media channels, and other published materials is provided for general informational purposes only and does not constitute legal, financial, or professional advice.
2.2. CYMODUS makes reasonable efforts to ensure the accuracy of published content but does not warrant its completeness, timeliness, or reliability.
2.3. Any reliance on information provided through these channels is at your own risk. CYMODUS shall not be liable for any losses or damages resulting from the use or inability to use the website or published content.
2.4. References or links to third-party sites or services are provided solely for convenience and do not constitute endorsement or guarantee of accuracy.
2.5. Content published by CYMODUS on its website, social platforms, or marketing materials may not be copied, reproduced, or distributed without written authorization.

3. Service Scope
3.1. All professional Services provided by CYMODUS, including but not limited to infrastructure design, cybersecurity assessments, policy development, IT transformation strategy, and ongoing support, require a signed agreement or statement of work ("SOW").
3.2. The SOW will define the scope, deliverables, timelines, responsibilities, and fees related to the specific engagement.

4. Payment and Fees
4.1. All fees, billing terms, and payment schedules are specified in the SOW.
4.2. Late payments may incur additional fees or result in service suspension, as outlined in the SOW.

5. Confidentiality
5.1. Both CYMODUS and the Client agree to maintain the confidentiality of proprietary, technical, or sensitive information exchanged during the engagement.
5.2. Confidentiality obligations shall survive the termination of services.

6. Intellectual Property
6.1. All intellectual property, tools, methodologies, reports, and documents created by CYMODUS during the engagement shall remain the property of CYMODUS unless otherwise specified in the SOW.
6.2. Use of CYMODUS branding, trademarks, or materials without permission is strictly prohibited.

7. Client Responsibilities
7.1. Clients are responsible for providing timely access to information, systems, personnel, and resources necessary for successful delivery of Services.
7.2. CYMODUS is not responsible for delays or failures caused by incomplete or inaccurate information provided by the Client.

8. Social Media & Public Content
8.1. Content posted by CYMODUS on LinkedIn, Twitter (X), or other social platforms is intended for thought leadership and promotional use and should not be interpreted as specific advice or guidance.
8.2. Public engagement with such content does not establish a client-consultant relationship.
8.3. CYMODUS retains full rights to edit, remove, or republish any of its published materials across platforms.

9. Termination
9.1. Either party may terminate a signed agreement for cause with written notice in the event of material breach.
9.2. Termination without cause must be mutually agreed upon and is subject to the terms outlined in the SOW.
9.3. Upon termination, outstanding fees remain payable and access to deliverables may be suspended until final payment is received.

10. Limitation of Liability
10.1. CYMODUS’ total liability for any claims arising out of the Services shall not exceed the total fees paid by the Client for the specific engagement giving rise to the claim.
10.2. CYMODUS shall not be liable for indirect, incidental, or consequential damages under any circumstances.

11. Governing Law and Jurisdiction
11.1. These Terms shall be governed by and construed in accordance with the laws of Canada under the jurisdiction of the federal government.
11.2. All disputes shall be subject to the exclusive jurisdiction of the courts of Canada.

12. Miscellaneous
12.1. These Terms constitute the full and exclusive agreement between the user/client and CYMODUS regarding use of this website and any public content.
12.2. Any modifications to these Terms must be made in writing and approved by both parties.
12.3. Failure by CYMODUS to enforce any provision shall not be deemed a waiver of future enforcement of that or any other term.
